1. Acceptance of Terms
By accessing and using Shift Lot, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use Shift Lot.
2. Use License
Shift Lot grants you a limited, non-exclusive, revocable license to access and use the platform for its intended purpose. You agree not to:
- Reproduce, duplicate, copy, or sell any part of Shift Lot
- Use Shift Lot for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to the platform or its systems
- Post misleading, false, or defamatory content
- Harass, abuse, or harm other users
3. Dealer Accounts and Listings
Dealers must be licensed to operate in their jurisdiction. You warrant that all information provided on Shift Lot is accurate, legal, and does not infringe on any third-party rights. Shift Lot reserves the right to verify dealer licensing and remove listings that violate our policies.
Vehicle listings must be accurate, include valid images, and comply with all applicable vehicle disclosure laws. Listings are subject to our content guidelines.
4. Subscription and Payment
Dealer subscriptions are billed monthly in advance. You authorize us to charge the payment method on file. Subscriptions renew automatically unless canceled. You may cancel your subscription at any time, with cancellation taking effect at the end of your current billing period.
All fees are exclusive of applicable taxes, which will be added to your invoice as required by law.
5. Communications and Leads
Shift Lot facilitates communication between buyers and dealers. We do not control, endorse, or assume responsibility for the quality, legality, or accuracy of buyer inquiries or dealer responses. Users are solely responsible for negotiations and any agreements made outside of Shift Lot.
6. Intellectual Property
Shift Lot and its content (including logos, design, software) are owned by Shift Lot or its licensors. You retain ownership of any content you submit (listings, messages, images), but grant Shift Lot a license to use and display it on the platform.
7. User Conduct
You agree to use Shift Lot responsibly and in compliance with all applicable laws. You will not upload viruses, malware, or any harmful code. Shift Lot reserves the right to suspend or terminate accounts that violate these terms.
8. Limitation of Liability
Shift Lot is provided "as is" without warranties of any kind. Shift Lot is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or any content on it.
To the extent permitted by law, our total liability to you is limited to the amount you paid in the 12 months preceding your claim.
9. Indemnification
You agree to indemnify and hold harmless Shift Lot from any claims, damages, or costs arising from your use of the platform, violation of these terms, or infringement of any third-party rights.
10. Termination
Shift Lot may terminate or suspend your account immediately for violations of these terms. Upon termination, your right to use the platform ceases immediately.
11. Governing Law
These terms are governed by and construed in accordance with the laws of the jurisdiction where Shift Lot operates, without regard to its conflict of law principles.
12. Changes to Terms
We may update these terms at any time. Your continued use of Shift Lot after updates constitutes acceptance of the new terms. We will provide notice of material changes.
